One of the most notable aspects of India’s foray into distributed ledger technology is the sharp regulatory demarcation drawn by the government between permissioned tokenized assets and decentralized, public cryptocurrencies.

While New Delhi has actively championed Demat 2.0, it maintains a famously restrictive stance toward unbacked virtual digital assets (VDAs). The tokenized bond ledger is strictly permissioned, governed by statutory depositories, and anchored by sovereign central bank money. Holders of public digital assets face a flat 30% tax on capital gains with no allowance to offset losses against gains, alongside a mandatory 1% tax deducted at source (TDS) on transactional volumes.

Addressing the Underlying Liquidity and Repo Market Challenges

While Demat 2.0 is publicly framed as a pioneering settlement experiment, financial sector experts point out that it addresses a much deeper, less discussed structural issue: the thinness of India’s corporate bond repo market.

In a healthy financial ecosystem, institutional investors frequently use corporate bonds as collateral in repurchase agreements (repos) to borrow short-term cash. However, India’s corporate bond repo market has historically suffered from low daily turnover volumes. This liquidity constraint starves secondary markets of the ready collateral necessary to maintain continuous trading activity and price discovery.

A corporate bond that exists as a digital token on a shared ledger—capable of being pledged, transferred, and unwound instantly via smart contracts—functions vastly more effectively as collateral than paper assets locked inside a sluggish two-day settlement cycle. By making tokenized corporate paper instantly pledgeable and retrievable in real time, the infrastructure paves the way for high-velocity collateral management. This operational efficiency represents the true commercial engine driving SEBI and the RBI’s long-term commitment to the project.

Future Roadmap: Retail Access, Multi-Asset Expansion, and Global Context

The current iteration of Demat 2.0 is intentionally limited in scope, focusing exclusively on primary-market issuances and institutional participants. However, SEBI’s long-term strategic roadmap outlines several subsequent phases for the technology:

  1. Secondary Market Integration: The immediate next milestone involves enabling secondary trading of tokenized bonds through existing request-for-quote (RFQ) trading platforms.
  2. Fractionalization and Retail Inclusion: Once secondary liquidity is established, SEBI plans to introduce fractionalization. This feature will allow everyday retail investors to purchase small, affordable slices of high-yield corporate bonds that are traditionally priced far beyond the reach of individual portfolios.
  3. Multi-Asset Ledger Expansion: The ambition of the Unified Market Interface extends well beyond debt instruments. Both SEBI and the RBI have signaled that the underlying ledger architecture can eventually expand to incorporate equities, mutual fund units, electronic gold receipts, and wholesale gold deposits, automating coupon payments, dividends, and redemptions through self-executing smart contracts.

With this launch, India joins an elite group of global jurisdictions actively integrating wholesale central bank digital currencies with tokenized institutional asset layers. Comparable initiatives are underway internationally, such as Project Evergreen in Hong Kong and distributed ledger settlement trials conducted by the European Central Bank.

Nevertheless, industry observers emphasize that India’s model is uniquely distinctive due to its tight integration with legacy financial infrastructure. Rather than creating an entirely parallel financial universe, Demat 2.0 embeds blockchain rails directly into the established depositories, clearing corporations, and commercial banks that already service the conventional market.

As the pilot expands beyond its initial cohort of state-owned lenders and private infrastructure giants, the true litmus test will arrive when secondary trading officially commences. At that juncture, the broader market will determine how efficiently tokenized corporate debt prices against its traditional paper equivalents, setting a new benchmark for capital market efficiency across the emerging economies of the world.
